yeah, I see this a lot,

PIII, Potato with custom kernel 2.4.18
modem drivers 0.;98 - 02110311

usually if I power down with the ppp connection still up then after the
system has finished winding down and unmounting all filesystems and
then displays the "Power Down" message. After that I get lots of that
message. As in over and over and over .
I guess that this indicates it is more than likely something to do
with power managment and the hcf modules.

A while back, after compiling 2.4.18 ,I had a problem
with the machine failing to come out of suspend - almost certainly
because of incorrect kernel configuration. Rather than taking the time
(probably no more than 5 mins) to figure out which powermanagment
options i needed in the kernel I just recompiled with no APM . Solved the
problem but Ever since then I have been getting those error messages when I
power down under the conditions mentioned.
So maybe there is something that needs to be set up in the kernel
power managment config options.

Try re-compiling kernel with APM and ACPI off/on to see if that
localises the problem.
